1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and [Your Company Name] ("Design Babai", "we", "us", or "our") governing your access to and use of the Design Babai platform, including our website, applications, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Design Babai is an AI-powered interior design platform that enables users to:

  • Import spaces by uploading floor plans, engineering drawings, or photographs
  • Generate and iterate on interior designs using AI-assisted tools
  • Define and name rooms and areas within layouts
  • Apply materials, furniture, lighting, and finishes to spaces
  • Export polished design directions for review and implementation
  • Collaborate with team members on design projects

3. Account Registration

  • You must provide accurate, current, and complete information during registration and keep your account information updated.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Each account is for a single individual. You may not share your account or allow others to access it.
  • You must be at least 16 years old (or the applicable minimum age in your jurisdiction) to create an account and use the Service.
  • You must notify us immediately of any unauthorized use of your account.

4. User Content and Intellectual Property

4.1 Your Content

You retain all ownership rights to content you upload to the Service, including photographs, floor plans, project descriptions, and design briefs ("User Content"). By uploading User Content, you grant Design Babai a limited, non-exclusive, worldwide, royalty-free license to use, store, process, display, and transform your content solely for the purpose of providing and improving the Service.

4.2 Content Responsibility

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use any content you provide. You must not upload content that infringes upon the intellectual property rights, privacy rights, or any other rights of third parties.

4.3 AI-Generated Content

Designs and images generated by our AI features are created based on your inputs and prompts. You may use AI-generated outputs for your personal and commercial purposes, subject to the terms of the underlying AI model providers. We do not claim ownership over AI-generated outputs created from your prompts and content.

5. AI-Generated Content Disclaimer

AI-generated designs are provided as creative suggestions and visualizations only. You acknowledge and agree that:

  • AI outputs are not professional architectural, structural, or engineering advice.
  • We make no guarantees regarding the accuracy, structural soundness, building code compliance, or feasibility of AI-generated designs.
  • You should always consult qualified professionals (architects, structural engineers, interior designers, or contractors) before implementing any design in a physical space.
  • AI-generated outputs may vary between requests and are not deterministic — the same prompt may produce different results.
  • We are not liable for any damages, costs, or losses arising from reliance on AI-generated content.

6. Credits and Payments

6.1 Credit System

The Service operates on a credit-based billing system. Certain AI features consume credits when used. Free starter credits may be granted upon account registration.

6.2 Purchasing Credits

  • Credits can be purchased through our payment processor, Razorpay.
  • All prices are listed in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST).
  • Payment is processed at the time of purchase. You agree to pay all charges associated with your credit purchases.

6.3 Credit Terms

  • Credits are non-transferable between accounts and may not be exchanged for cash.
  • Unused credits do not expire unless your account is terminated.
  • We reserve the right to modify credit pricing with reasonable advance notice.

6.4 Refunds

Refund requests will be evaluated on a case-by-case basis. If the Service fails to deliver a result due to a technical error on our part, the credits consumed may be refunded to your balance. Refunds to your payment method are subject to our discretion and applicable payment processor policies.

7. Acceptable Use

You agree not to use the Service to:

  • Upload, generate, or distribute illegal, harmful, abusive, defamatory, obscene, or otherwise objectionable content.
  • Infringe upon the intellectual property, privacy, or other rights of any third party.
  • Use automated scripts, bots, scrapers, or other automated means to access the Service or extract data.
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
  • Impersonate any person or entity.
  • Upload malware, viruses, or any other harmful code or files.
  • Attempt to bypass, circumvent, or disable any security features or access controls.
  • Use the Service in any manner that violates applicable local, national, or international laws or regulations.

We reserve the right to suspend or terminate your account if you violate these acceptable use provisions.

8. Intellectual Property

The Service, including its design, user interface, branding, logos, software, and proprietary technology, is owned by Design Babai and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.

Certain components of the Service may incorporate open-source software, which is governed by their respective open-source licenses.

9. Third-Party Services

The Service integrates with and depends upon third-party services including Clerk (authentication), Supabase (data storage), Google Gemini (AI processing), Razorpay (payments), and Vercel (hosting). These services are governed by their own terms and privacy policies.

We are not responsible for the availability, performance, or conduct of third-party services. Temporary interruptions in third-party services may affect the availability of certain features.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any AI-generated content or design suggestions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DESIGN BABAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Design Babai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of the rights of any third party.

14. Termination

  • You may terminate your account at any time by contacting us or using the account deletion feature (when available).
  • We may suspend or terminate your account at any time for violation of these Terms, with or without prior notice.
  • Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.
  • Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [City, State], India.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

If you are a consumer in the European Union, you retain any mandatory consumer protection rights afforded to you by the laws of your country of residence.

For significant changes, we may provide additional notice via email or in-app notification. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

17. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Design Babai regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure — We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, or pandemics.
